Job Title: Corporate Attorney

We are seeking an experienced Corporate Attorney with expertise in capital markets, commercial lending, and financial services to provide complex legal advice and support to bank management and staff including researching, drafting, and reviewing legal documents and opinions and providing guidance to ensure that business practices, policies, and dealings of the bank meet regulatory requirements to protect the organization from legal action. Additionally, the Corporate Attorney will support related bank committees, including the Loan Committee, Special Asset Management Committee, Asset/Liability Management Committee, and Internal Control Over Financial Reporting Management Committee, and provide legal support across multiple business functions.

What you’ll do

Provide legal support for document preparation, review, and finalization for AgFirst’s capital markets and lending departments regarding syndication and participation loans and sub-participation with district associations and other system institutions.
Review and provide feedback for loan and security documentation.
Review and provide feedback for master or other participation agreements requiring prior approval from the bank.
Assist with legal analysis and determinations regarding eligibility and similar entity issues. Provide training, as necessary.
Provide legal support to CCO and Credit Department about regulatory compliance issues including policies/procedures and risk management.
Provide legal support to the CFO, Controller, and Treasury about regulatory compliance issues, including policies/procedures, internal controls, and disclosures.
General corporate legal and regulatory matters as assigned.
Provide advice and support to Bank staff as to legal matters affecting various aspects of the operation of the bank and respond to legal questions from Bank staff and associations.

Hiring criteria

What you’ll need

Licensed attorney with Juris Doctor and bachelor’s degree.
Licensed attorney with at least 5-10 years of regulatory/legal experience in capital markets (participation/ syndication loans), commercial lending, multi-lender transactions, commercial real estate, real property, special assets, foreclosure, bankruptcy, finance, treasury, and/or other banking transactions.
Member of State Bar.
Gathers and analyzes information skillfully.
Writes clearly and informatively and is proficient in word processing, online research, and electronic communications.
Juris Doctor (JD) degree from an accredited law school and active bar membership in good standing.
5+ years of experience as an attorney in a corporate or service provider environment, with strong expertise in contract law, IT legal matters, and intellectual property.
Demonstrated experience in contract negotiation, drafting, and compliance, particularly within the technology, data privacy, and security sectors.
Knowledge of federal and state regulations related to data privacy, IT security, and intellectual property.
Proven ability to manage cybersecurity risk assessments, incident reporting, and response actions.
Excellent interpersonal skills with a customer-focused, problem-solving approach.
